Terms of Services

1. Company Role & Legal Status

TQG Solutions LLC is a referral and facilitation platform.
We do not manufacture, sterilize, package, label, warehouse, distribute, sell, or guarantee medical products.
We do not provide clinical services or medical advice.

All transactions for medical devices or supplies occur directly between suppliers (“Suppliers”) and Ambulatory Surgical Centers or other medical facilities (“Clients”). TQG is not a party to these transactions.

TQG assumes no liability for product quality, regulatory compliance, delivery timelines, pricing, performance, safety, or fitness for a particular purpose.

2. Eligibility

By using our Services, you confirm that you are:

  • At least 18 years old

  • Authorized to act on behalf of a medical facility or supplier

  • Providing accurate and truthful information

  • Compliant with all applicable state, federal, and industry regulations

3. Supplier Obligations

Suppliers accessing TQG’s network must maintain all required regulatory credentials, including but not limited to:

  • FDA Establishment Registration (when applicable)

  • FDA Device Listings (when applicable)

  • ISO 13485 certification for quality management (recommended; required for sterilized or high-risk devices)

  • Accurate labeling and packaging compliance

  • Valid sterility reports (if required)

  • Shipping accuracy and fulfillment reliability

  • Compliance with all federal, state, and international regulations related to medical device production, storage, and sale

TQG reserves the right to deny or revoke supplier access at any time.

4. Client Responsibilities

Clients using our platform agree to:

  • Independently verify Supplier regulatory status

  • Conduct due diligence on product quality, pricing, and compliance

  • Ensure all products meet licensing and clinical requirements

  • Enter into their own purchase agreements directly with Suppliers

TQG is not responsible for any product defects, compliance failures, recalls, or damages arising from Supplier transactions.

5. Referral Services

TQG provides:

  • Supplier introductions

  • ASC referral pathways

  • Optional onboarding and documentation support

TQG does not control pricing, product specifications, inventory, delivery timelines, sterility, or contract terms between Clients and Suppliers.

Any commissions or fees paid to TQG are for referral and facilitation only.

6. No Guarantees or Warranties

TQG provides all Services “as-is” and without warranties, including:

  • No guarantee of product quality or regulatory compliance

  • No guarantee of supplier performance

  • No guarantee of clinical suitability or safety

  • No guarantee of ASC or supplier acceptance

Medical facilities and suppliers assume all associated risks.

7. Limitation of Liability

To the maximum extent permitted by law, TQG Solutions LLC and its owners, employees, and affiliates shall not be liable for:

  • Product defects

  • Supplier negligence or misconduct

  • Regulatory violations by Suppliers or Clients

  • Lost revenue or business interruption

  • Delays, shortages, or quality issues

  • Injuries, recalls, FDA actions, or adverse events

In no event shall TQG’s liability exceed the total amount paid to TQG for Services within the previous 12 months, if any.

8. Indemnification

By using the Services, Suppliers and Clients agree to indemnify, defend, and hold harmless TQG Solutions LLC from any claims, losses, liabilities, damages, regulatory fines, or legal actions arising from:

  • Supplier products

  • Supplier regulatory issues

  • Clinical use of any product

  • Contractual disputes between Clients and Suppliers

  • Misuse of the Services

9. Privacy & Data Use

TQG may collect and store business contact information for:

  • Referral coordination

  • Compliance screening

  • Analytics and platform improvement

We do not sell personal data.

10. Prohibited Activities

Users must not:

  • Misrepresent regulatory credentials

  • Upload false certifications

  • Engage in fraudulent or unsafe medical sales

  • Attempt to reverse-engineer or disrupt the website

  • Misuse TQG’s brand, trademarks, or documentation

Violations may result in termination of access.

11. Modification of Terms

TQG reserves the right to update or modify these Terms at any time. Updated versions will be posted on this page with a new “Last Updated” date. Continued use of the Services constitutes acceptance of any changes.

12. Governing Law

These Terms are governed by the laws of the State of Tennessee and applicable federal law.

Any disputes shall be resolved through binding arbitration unless prohibited by law.
